Overview
These Terms of Service (“Terms”) govern your access to and use of the RED CONCEPTS website and our products — HEATRIQ, VIVAST, and AutoDoc — operated by RED CONCEPTS LLC (“we”, “our”, or “us”). By accessing our website or using any of our services, you agree to be bound by these Terms.
If you do not agree with any part of these Terms, you must not use our website or services.

1. Definitions
- “Services” means the RED CONCEPTS website, our software products (VIVAST, AutoDoc), our hardware product (HEATRIQ), and any related support or consulting services.
- “Client” or “User” means any individual or business entity that accesses or uses our Services.
- “Content” means all text, graphics, code, data, and other materials made available through our Services.
- “Subscription” means any paid recurring plan for access to VIVAST or AutoDoc.
2. Use of Services
Permitted Use
You may use our Services for lawful business purposes in accordance with these Terms. You agree to provide accurate information when creating accounts or submitting enquiries.
Prohibited Use
You must not:
- Use the Services for any unlawful purpose or in violation of any applicable regulations
- Attempt to gain unauthorised access to any part of our systems, accounts, or networks
- Reverse engineer, decompile, or disassemble any part of our software or hardware
- Resell, sublicense, or redistribute our Services without prior written consent
- Upload or transmit viruses, malware, or any other malicious code
- Use our Services to infringe upon the intellectual property rights of others
- Engage in any conduct that could damage, disable, or impair our infrastructure
3. Accounts and Registration
Certain Services (VIVAST, AutoDoc) require you to create an account. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Notifying us immediately at support@redconcepts.co if you suspect any unauthorised use of your account
We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.
4. Subscriptions and Payments
Billing
Subscriptions to our software products are billed on a recurring basis (monthly or annually) as specified at the point of purchase. Payment is due in advance of each billing period.
Cancellation
You may cancel your subscription at any time via your account dashboard or by contacting us. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods unless required by applicable law.
Price Changes
We reserve the right to modify our pricing with a minimum of 30 days’ written notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.
Failed Payments
If a payment fails, we will attempt to contact you and may suspend access to the relevant Service until payment is received.
5. Hardware (HEATRIQ)
Purchase of HEATRIQ hardware is subject to the following additional terms:
- Installation: HEATRIQ must be installed by a qualified engineer or electrician. RED CONCEPTS accepts no liability for damage or injury resulting from improper installation.
- Warranty: HEATRIQ carries a 12-month limited warranty covering manufacturing defects under normal use. This warranty does not cover damage caused by misuse, modification, or improper installation.
- Returns: Unopened units may be returned within 14 days of delivery for a full refund. Opened units may be returned within 14 days if faulty.
- Firmware: We may release firmware updates for HEATRIQ from time to time. Updates are provided as-is and you are responsible for installing them in accordance with the provided instructions.
6. Intellectual Property
All content, software, hardware designs, trademarks, and intellectual property associated with RED CONCEPTS, HEATRIQ, VIVAST, and AutoDoc remain the exclusive property of RED CONCEPTS LLC. Nothing in these Terms grants you any rights to our intellectual property beyond the limited licence to use the Services as described herein.
You retain ownership of any data or content you upload to our Services. By uploading content, you grant us a limited licence to process that content solely for the purpose of delivering the Services to you.
7. Confidentiality
If you engage RED CONCEPTS for custom development or consulting work, both parties agree to keep confidential any proprietary information shared during the engagement. This obligation survives termination of any agreement between us for a period of three (3) years.
8. Availability and Uptime
We strive to maintain high availability for our cloud-based Services. However, we do not guarantee uninterrupted access and shall not be liable for downtime caused by:
- Scheduled maintenance (communicated in advance where possible)
- Third-party infrastructure failures
- Force majeure events outside our reasonable control

9. Limitation of Liability
To the fullest extent permitted by applicable law, RED CONCEPTS LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of or inability to use our Services, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising under these Terms shall not exceed the greater of: (a) the total fees paid by you to us in the 12 months preceding the claim, or (b) £100 GBP.
10. Indemnification
You agree to indemnify, defend, and hold harmless RED CONCEPTS LLC and its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of our Services, your violation of these Terms, or your infringement of any third-party rights.
11. Termination
We reserve the right to suspend or terminate your access to our Services at our discretion, with or without notice, if we believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease.
Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall survive.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by updating the “Last updated” date and, where appropriate, by email. Continued use of our Services after changes take effect constitutes your acceptance of the revised Terms.
